After Decades in Business, a Flooring Owner Finally Gets to Step Away

Finding the right path forward required persistence. Early in the process, the seller’s expectations for the business were higher than what the marketplace and available financing could support. Buckler continued working with him to evaluate buyer feedback, understand lending realities, and establish a value that could attract qualified buyers while still supporting his retirement goals.
Once expectations aligned with the market, the opportunity became more attractive to prospective buyers and ultimately connected with a strong buyer prepared to take over the operation. Instead of treating the sale as one simple transaction, Buckler evaluated each deal component to create a structure that worked best for the seller’s goals.
One of the most important considerations was the company’s lengthy collection cycle. A significant amount of value remained tied to accounts receivable and work already in progress at the time of the sale. The transaction was structured so the seller retained those receivables after closing, protecting a substantial source of future proceeds rather than requiring him to leave that value behind as part of the business sale.
“Sometimes getting a business sold isn’t about forcing the original plan to work,” said Buckler. “It’s about understanding what the market will support and then structuring the transaction in a way that protects what matters most to the seller. Staying committed to that process is what ultimately gets you to the closing table.”
The seller also retained ownership of the commercial real estate, allowing the business sale and a potential future property sale to occur separately. That flexibility supported his desire to avoid having two major financial events happen within the same year while giving the new owner the opportunity to continue operating from the established location.
After nearly two years of navigating valuation, financing, deal structure, and the seller’s long-term financial priorities, the flooring business successfully transitioned to new ownership. Buckler has continued to assist the seller with questions and resources following the closing as he moves away from business ownership and into retirement.
