As a result, pricing had to be adjusted to reflect the company’s current health, making the deal more challenging to structure and negotiate.

"The buyer, who owns a complementary business just down the street, was highly motivated by the strategic value of the service department and the opportunity to acquire the underlying real estate. Despite the hurdles, the deal ultimately closed due to the buyer’s persistence and long-term vision for integration.

"On the seller’s side, the realization that the pain of delaying retirement outweighed the disappointment of a reduced price helped move the deal forward. While negotiations were drawn out—largely due to the gap between expectations and market realities—the transaction reached a successful close once both parties aligned around the true value of the business in its current state."
