What’s My Business Really Worth? Let’s Break It Down.

If you’re thinking about selling your business, one of the biggest questions on your mind is probably: What’s it currently worth?

It’s a great question — and the answer is more important than you might think. Your asking price doesn’t just pop out of thin air. It’s built on a process called business valuation, and getting it right sets the entire tone for your sale.

At Transworld, we believe in making things simple and clear for business owners. So let's break down the basics of how businesses are valued, in a way that actually makes sense.

Business Valuation Isn’t Just a Number

First, it’s important to understand that your business’s value isn’t just about how much money you’ve made. Buyers want to see the full picture — how much income the business generates, what kind of assets it has, and how it compares to others on the market.

Setting the right price is a balancing act. Too high, and buyers walk away. Too low, and you leave money on the table. A strong valuation helps you attract the right buyers and negotiate from a position of strength.

The Three Common Methods of Business Valuation

Here are the three main ways businesses are usually valued:

1. Seller’s Discretionary Earnings (SDE)

SDE is a simple but powerful tool, especially for small and mid-sized businesses. It starts with your business’s net bottom line profit and then adds back the owner’s salary, benefits, and any personal expenses that run through the business.

The goal is to show how much money a new owner can expect to have and use at their discretion after all necessary business expenses are paid out.  Buyers evaluate a business based on this number because it helps them picture their own return on investment post transaction.

2. Market Multiples

Think of this like real estate “comps.” When you sell a house, agents look at what similar homes nearby sold for. It’s the same idea with businesses.

We compare your business to others like it — in the same industry, size, and location — and see what multiples they sold for, usually based on earnings or revenue. This gives a realistic snapshot of what buyers might be willing to pay right now.

3. Asset Approach

This method looks at the tangibles your business owns: equipment, inventory, vehicles, and fixtures.  We also add value for non-tangible assets, such as brand name, website, and goodwill.  We add up the value of these assets and subtract any debts or liabilities.

The asset approach is most common for companies that are heavy on equipment or inventory — like manufacturers, restaurants, or construction firms.

So, Which Method Do We Use?

The best valuations usually combine parts of all three methods. At Transworld, we don’t believe in one-size-fits-all answers. Every business is unique, and your valuation should reflect that.

We take the time to dig deep into your numbers, your operations, and your market to make sure you’re priced to sell — while still getting the value you deserve.

Why a Professional Valuation Matters

It’s tempting to take a wild guess or rely on what you hope your business is worth. But in today’s market, serious buyers do their homework — and they expect you to do the same.

A professional valuation gives you credibility. It shows buyers that you’re prepared, serious, and trustworthy. It can also speed up the sale process and help you avoid last-minute surprises when buyers start asking tough questions.
